ADB TA8245 PRC Project: Improvement on Corporate Governance, Risk Management and ESG Reporting for Dynagreen 
  • Engaged by ADB under its TA8245 funded project to serve as consultant for HKEx listed Dynagreen, a China State-owned-Enterprise (SOE) and a Waste to Energy company based in Shenzhen, to assist the company to adhere to high standards of corporate governance, serving as a model for the industry in small and medium-sized cities. 
  • The project comprises
         (i) Evaluation, gap analysis, and recommendations for improvements on corporate governance, risk management and Environment, Social and                              Governance (ESG) reporting, etc.
         (ii) Capacity building to enhance and consummate Dynagreen’s corporate governance system; and
         (iii) Implementation and monitoring corporate governance milestones agreed by ADB and Dynagreen from findings from Phase 2.

Scope of Work:
Phase I: Evaluation and identification of areas for improvement
▪ Review and evaluate Dynagreen’s current status of corporate governance in terms of its constitutional documents, internal policies and day-to-day practices;
▪ Perform gap analysis of Dynagreen’s corporate governance policies (its constitutional documents and internal policies) by benchmarking it against OECD Principles of Corporate Governance and Hong Kong Exchange listing rules (identifying any areas where the applicable laws in the PRC are inconsistent with OECD Principles of Corporate Governance or the Hong Kong Exchange listing rules);
▪ Provide recommendations for improvement.

Phase II: Capacity development and enhancement
▪ Prepare a capacity development program for Dynagreen to enhance and consummate its corporate governance system to remedy the identified deficiencies, and implement the recommendations, so that Dynagreen’s corporate governance system complies with OECD Principles of Corporate Governance (to the extent not inconsistent with PRC law) and Hong Kong listing rules.
▪ Assist Dynagreen to establish its corporate code of good governance to achieve the objectives set out in the capacity development program; and
▪ Prepare comprehensive training materials and provide training for company’s board, senior management and project companies on selected areas/topics.

Phase III: Implementation and monitoring
▪ Provide continuous hands-on coaching and support to assist Dynagreen to achieve the corporate governance milestones agreed by ADB and Dynagreen, and to monitor their implementation (including the preparation of all required revisions to Dynagreen’s corporate governance documents); and
▪ Help structure an outreach program to share lessons learned in the form of seminars or workshops.
